Welcome to iNTERLX Solutions. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and iNTERLX Solutions ("iNTERLX", "we", "us", or "our"), a technology services company registered and operating in Narail, Bangladesh. By accessing our website or using any of our services, you agree to be bound by these Terms.
1. Definitions
- "Services" refers to all web hosting, server setup, cloud VPS, web development, security, technical support, and related digital infrastructure services provided by iNTERLX Solutions.
- "Account" means your registered profile and associated credentials for accessing iNTERLX services.
- "Content" means any data, files, text, images, or material you upload, store, or transmit using our services.
- "Agreement" refers collectively to these Terms, our Privacy Policy, and any Service Level Agreements (SLAs) or Service Orders you enter into with iNTERLX.
2. Acceptance of Terms
By creating an account, placing a service order, or using any iNTERLX service, you confirm that:
- You are at least 18 years of age or have the legal authority to enter into this Agreement
- You have read, understood, and agree to be bound by these Terms
- If acting on behalf of an organization, you have the authority to bind that organization to this Agreement
- You will comply with all applicable local, national, and international laws and regulations
3. Services Provided
iNTERLX Solutions provides the following categories of services:
- Shared and business web hosting
- Dedicated server setup and management
- Cloud VPS provisioning and management
- Custom web development and web application development
- Network security configuration and SSL certificate management
- Website and server migration services
- Email hosting and DNS management
- Performance optimization services
- 24/7 technical support
The specific scope, deliverables, timelines, and pricing for each engagement are defined in the applicable Service Order or proposal agreed upon by both parties.
4. Account Registration and Security
To access certain services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and not share access credentials with unauthorized parties
- Promptly notify iNTERLX of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
iNTERLX reserves the right to suspend or terminate accounts that are found to have inaccurate information or compromised security.
5. Acceptable Use Policy
You agree to use iNTERLX services only for lawful purposes. You are strictly prohibited from using our services to:
- Host, distribute, or transmit illegal content, including but not limited to child exploitation material, pirated software, or content that violates intellectual property rights
- Send unsolicited bulk email (spam), conduct phishing attacks, or distribute malware
- Launch Distributed Denial of Service (DDoS) attacks or any form of network attack
- Mine cryptocurrency without prior written authorization from iNTERLX
- Resell iNTERLX services without an authorized reseller agreement
- Violate the privacy of others, including unauthorized access to systems or data
- Host content that promotes terrorism, hate speech, or incites violence
- Engage in any activity that may damage iNTERLX's reputation or infrastructure
iNTERLX reserves the right to immediately suspend services and terminate accounts that violate this Acceptable Use Policy, without prior notice and without refund.
6. Payment Terms and Billing
- Pricing: All prices are quoted in Bangladeshi Taka (BDT) or as otherwise specified. Prices are subject to change with 30 days' notice for existing clients.
- Payment Schedule: Hosting services are billed monthly or annually in advance. Project-based services follow the payment schedule outlined in the Service Order.
- Late Payment: Accounts with overdue balances beyond 7 days may be suspended. Services will be restored upon payment of outstanding amounts.
- Taxes: Applicable taxes (VAT, etc.) will be added to invoices as required by Bangladeshi law.
- Refunds: Hosting services may be refunded within 7 days of initial purchase if service levels have not been met. Project-based work refunds are governed by the individual Service Order.
7. Service Level Agreement (SLA)
iNTERLX commits to the following service levels for managed hosting services:
- Uptime Guarantee: 99.9% monthly uptime for hosting services. Downtime is calculated excluding scheduled maintenance windows.
- Support Response: Critical issues — within 15 minutes; High priority — within 1 hour; Standard — within 4 business hours.
- Scheduled Maintenance: Planned maintenance will be communicated at least 24 hours in advance.
- SLA Credits: If uptime falls below 99.9%, clients are entitled to service credits as defined in their individual SLA agreement.
8. Intellectual Property
All content on the iNTERLX website — including text, graphics, logos, software, and design — is the property of iNTERLX Solutions and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without written permission.
For web development projects, upon full payment, the client receives full ownership of the final deliverables. iNTERLX retains the right to use generic code libraries, frameworks, and methodologies developed prior to or independently of the project.
9. Data Ownership and Backups
You retain full ownership of all data and content you store on iNTERLX infrastructure. iNTERLX performs regular automated backups as part of managed hosting services; however, we strongly recommend that you maintain your own independent backups. iNTERLX's backups are provided as a convenience and do not substitute for your own backup strategy.
10. Confidentiality
Both parties agree to treat as confidential any non-public information received from the other party and to use such information only for the purpose of fulfilling obligations under this Agreement. This obligation survives termination of the Agreement for a period of 3 years.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- iNTERLX's total liability for any claims arising from or related to these Terms or the services shall not exceed the total fees paid by you to iNTERLX in the 3 months preceding the claim.
- iNTERLX shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- iNTERLX shall not be liable for service interruptions caused by force majeure events, including natural disasters, power outages, government actions, or third-party infrastructure failures.
12. Indemnification
You agree to indemnify, defend, and hold harmless iNTERLX Solutions and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
13. Termination
Either party may terminate services by providing 30 days' written notice. iNTERLX may terminate or suspend services immediately, without notice or refund, for:
- Violation of the Acceptable Use Policy
- Non-payment of overdue invoices
- Fraudulent or illegal activity
- Any action that threatens iNTERLX's infrastructure or other clients
Upon termination, you have 14 days to retrieve your data. After this period, iNTERLX may permanently delete your data.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Narail, Bangladesh, under the Arbitration Act 2001.
15. Modifications to Terms
iNTERLX reserves the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 14 days before taking effect. Your continued use of our services after such notice constitutes acceptance of the modified Terms.
